1. Company and scope

These Terms of Service ("Terms") govern your use of the website, APIs, connectors, and services operated by EarnTalk Inc, a Wyoming corporation with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801 ("EarnTalk," "we," "us").

EarnTalk builds connectors and third-party applications for Personal Agents — enabling creators, artisans, and businesses to transact through AI agents. By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services.

2. Accounts and eligibility

• You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the services.
• You are responsible for the accuracy of the information you provide and for safeguarding your account credentials.
• Developer accounts and API keys may not be shared, resold, or used to access the services on behalf of third parties without our written consent.

3. Services and acceptable use

• EarnTalk provides the services on an "as is" and "as available" basis. We may add, modify, or discontinue features at any time.
• You agree not to: (a) use the services for any unlawful purpose; (b) interfere with or disrupt the services or their security; (c) reverse-engineer, scrape, or bulk-extract data except through published APIs under their rate limits; (d) misrepresent your identity or affiliation; or (e) upload content that infringes third-party rights.
• Creators and merchants using the platform are responsible for the accuracy of their listings, pricing, and fulfillment.

4. Fees and billing

• Current offerings and pricing are published on our website. Unless stated otherwise, fees are billed in USD.
• Paid plans renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; we do not prorate partial periods.
• Transaction-based fees, if applicable, are disclosed at the point of transaction before you confirm.

5. Intellectual property

All software, documentation, trademarks, and content provided by EarnTalk remain our property or that of our licensors. You receive a limited, non-exclusive, non-transferable license to use the services for their intended purpose. Nothing in these Terms transfers ownership of any intellectual property.

6. Third-party services

The services may integrate with third-party providers (e.g., payment processors, messaging platforms, wallet infrastructure). Your use of those integrations is subject to their own terms; we are not responsible for their availability or actions.

7. Disclaimers

To the maximum extent permitted by law, EarnTalk disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the services will be uninterrupted, error-free, or meet your requirements.

8. Limitation of liability

To the maximum extent permitted by law, EarnTalk's total liability arising from or relating to the services shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Termination

We may suspend or terminate your access for violation of these Terms or for conduct harmful to the services or other users. You may stop using the services at any time. Sections 5, 7, 8, and 10 survive termination.

10. Governing law and contact
